1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of Store Health Check (the “App”), a Shopify application operated by the App developer (“we,” “us,” or “our”). By installing or using the App, you (“you,” “Merchant,” or “your”) agree to be bound by these Terms. If you do not agree, do not install or use the App.

These Terms apply to all visitors, users, and others who access or use the App. If you are using the App on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

Your use of the App is also subject to Shopify’s Partner Program Agreement and Shopify’s Terms of Service, which govern the Shopify platform through which the App is distributed. In the event of a conflict, Shopify’s terms take precedence with respect to the Shopify platform itself.

2. Description of Service

Store Health Check is a diagnostic and advisory tool for Shopify merchants. It performs a read-only scan of your store’s configuration metadata — not customer data, not orders — and computes a Store Health Score out of 100, based on approximately 19 deterministic checks across four categories:

The App provides the score, per-check pass/fail/partial results, and human-readable guidance for each failing check. On the Free plan, results are also available in machine-readable JSON format via an API endpoint. On the Pro plan, a limited set of reversible one-click fixes are available (see Section 4).

The App is an advisory tool, not a guarantee. A high Store Health Score does not guarantee sales conversions, Shopify App Store approval, compliance with any specific regulation, or any other outcome. The checks represent best-practice heuristics based on commonly accepted Shopify merchant guidance; they do not constitute legal, accounting, or professional advice.

3. Service Plans and Pricing

The Free plan is available at no charge. It includes:

3.2 Pro Plan

The Pro plan is available at $0.99 USD per month, billed by Shopify on a recurring monthly basis via the Shopify Billing API. It includes everything in the Free plan, plus:

A 14-day free trial is offered on the Pro plan. During the trial you have full access to all Pro features. At the end of the trial period, Shopify will begin monthly billing unless you downgrade to the Free plan or uninstall the App before the trial ends.

4. Autofixes — Pro Plan — Merchant Responsibility

Pro-plan autofixes make changes to your store via the Shopify Admin API on your behalf, using the access you grant when you install the App. Each autofix is designed to be reversible: before applying any change, the App records the previous value of the affected field in the Work Ledger. You can undo a fix from within the App interface.

5. Billing, Charges, and Shopify Billing API

All charges for the Pro plan are processed by Shopify, Inc. through the Shopify Billing API. By subscribing to the Pro plan, you authorize Shopify to charge your Shopify account the applicable fees on a monthly recurring basis.

We do not collect, store, or process your payment card information directly. All payment processing is handled by Shopify. For questions about your billing or charges, refer to Shopify’s billing support.

We reserve the right to change the pricing of the Pro plan. We will provide at least 30 days’ notice of any price change via the App interface or by email. Continued use of the Pro plan after the effective date of a price change constitutes your acceptance of the new price.

Refunds are handled in accordance with Shopify’s app refund policies. In general, charges are non-refundable except as required by applicable law or as provided by Shopify’s policies.

All charges are billed in USD. Currency conversion costs and applicable taxes are handled by Shopify in accordance with its platform terms.

6. Free Trial Terms

The Pro plan includes a 14-day free trial. The trial begins on the date you activate the Pro plan subscription in your Shopify Admin.

If you do not cancel or downgrade before the end of the trial period, Shopify will begin charging the Pro plan monthly fee. To avoid being charged, you must downgrade to the Free plan or uninstall the App before the 14-day trial period expires.

If you uninstall the App during the trial period, your subscription will be cancelled. If you reinstall the App after a previous trial has been used, a new free trial may not be available; Shopify’s billing rules govern trial eligibility.

We reserve the right to modify or discontinue the free trial offer at any time for new subscribers.

7. Your Shopify Account and Access

You must have a valid Shopify store and be logged into your Shopify Admin in order to use the App. The App is installed via the Shopify App Store and accessed through your Shopify Admin interface.

You are responsible for maintaining the security of your Shopify account. We are not responsible for any loss or damage arising from unauthorized access to your Shopify account.

The App is granted specific Admin API scopes when you install it (see our Privacy Policy for the list). You can revoke these permissions at any time by uninstalling the App from your Shopify Admin. Revoking permissions (uninstalling) will terminate your access to the App and trigger deletion of your stored data (see Privacy Policy, Section 5).

8. Termination

By you: You may terminate your use of the App at any time by uninstalling it from your Shopify Admin. Upon uninstall, the App will no longer have access to your store. Your stored data will be retained for up to 30 days (to support reinstall) and then permanently deleted, or immediately upon receipt of a Shopify shop/redact webhook. Any active Pro plan subscription will be cancelled via the Shopify Billing API.

By us: We reserve the right to suspend or terminate your access to the App if you violate these Terms, if your use disrupts our service to other merchants, if we are required to do so by Shopify or applicable law, or if we discontinue the App. In the event of App discontinuation, we will provide at least 30 days’ notice where reasonably possible.

Upon termination, all provisions of these Terms that by their nature should survive termination — including limitations of liability, disclaimers, and indemnification obligations — shall survive.

You agree not to use the App to:

10. Intellectual Property

The App, including its source code, design, logic, trademarks, and content (excluding your store’s data), is and remains the exclusive property of the App developer. Nothing in these Terms transfers any ownership or intellectual property rights to you.

You retain all ownership of your store’s data. By using the App, you grant us a limited, non-exclusive license to access, process, and store your store’s metadata solely as described in these Terms and our Privacy Policy, and for no other purpose.

The Store Health Score methodology, check definitions, and scoring algorithm are proprietary. The numerical score and check results produced by the App are provided for your internal use. You may share your score publicly (e.g., in marketing materials or on your website) provided that you accurately represent it as your “Store Health Check score” and do not misrepresent what the score measures.

11. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIVE U.S. DOLLARS ($5.00).

The limitations set out in this section form an essential basis of the bargain between you and us, and we would not provide the App to you without these limitations.

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

14. Third-Party Services

The App operates on the Shopify platform and relies on the Shopify Admin API, Shopify Billing API, and Shopify’s OAuth authentication system. Your relationship with Shopify is governed by Shopify’s own terms, not by these Terms. We are not responsible for any changes to the Shopify API, platform, or policies that affect the App’s functionality.

If Shopify modifies or discontinues an API feature that the App relies on, we will make reasonable efforts to update the App. We make no guarantee of continued operation in the event of material changes to the Shopify platform.

Our application infrastructure is hosted on Railway. Our error monitoring may be provided by Sentry. These are our sub-processors; we do not expose your data to additional third parties beyond those described in our Privacy Policy.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “last updated” date at the top of this page. For material changes, we will notify you via the App interface or by email to your store’s contact address at least 14 days before the change takes effect (or as soon as reasonably practicable where required by law or Shopify policy). Your continued use of the App after the effective date of revised Terms constitutes acceptance of those Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of [OPERATOR: insert governing jurisdiction], without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the App that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of [OPERATOR: insert jurisdiction/venue]. You consent to personal jurisdiction in those courts.

Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property rights.

17. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App, and supersede all prior agreements or understandings of any kind.

Severability. If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any right or provision will be effective only if in writing and signed by our authorized representative.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.

Force Majeure. We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure, Shopify platform outages, third-party infrastructure failures, or changes to Shopify’s API.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and us.

Notices. Any notices or communications under these Terms will be sent by email to the address you have on file with Shopify (your store contact email) and, from you to us, to the support address below.
